Independent Reseller Agreement
Becoming a STAG Independent reseller means you are entering into a legally-binding business relationship with STAG Men’s Products, LLC. This Reseller Agreement (referred to herein as the, “Agreement”) is between a reseller (you) and STAG Men’s Products, LLC. (“STAG”).
This Agreement contains Standards, which define the basic requirements and procedures, expected behaviors and acceptable activities as you sell STAG products to others. Compliance with these Standards will help you operate your STAG business in a healthy and ethical manner. When you become a STAG reseller, you are agreeing to comply with this Agreement.
As a STAG reseller in good standing, you have the right to:
Purchase STAG products at a discounted price;
Sell STAG products;
Receive official STAG communications;
Access STAG-sponsored support, training, and recognition; and
Participate in STAG-sponsored promotional programs and incentive contests.
The spirit and intent of this Agreement
Where specific Standards are not already established, STAG refers to the spirit and intent of this Agreement, which are to:
Protect your right and ability to operate as a STAG reseller;
Protect STAG’s assets and interests;
Protect the opportunity for all current and prospective resellers;
Promote healthy business activities and relationships; and
Contribute to the Mission, Vision and Values of STAG Men’s Products, LLC.
SECTION 1: ACCOUNT OPERATIONS
Eligibility requirements to become a STAG reseller
To enroll, you must:
Provide the individual name as it appears on your Social Security card;
Be 18 years of age;
Be a legal resident of the United States;
Have a legal right to work in the United States; and
Not be confined to a correctional or mental health institution.
STAG, at its sole and absolute discretion, reserves the right to reject any new enrollment for any reason.
SECTION 2: ACCOUNT MAINTENANCE
You are responsible for maintaining your account with current and accurate information. STAG is not liable for shipping delays due to incorrect address information on your account.
Address, email, telephone: You can update this information on your own through your online account.
Legal name: To change your name, you need to email firstname.lastname@example.org.
Country of residence: STAG resellers must reside in the United States. If you move to a foreign country, you will unfortunately no longer be able to participate in the STAG reseller program.
Passing of a Reseller: Your account will be suspended until we receive benefactor information. If we do not receive benefactor information, we will cancel your account three months after the date of suspension.
Assignment of rights
You may not assign any rights under this Agreement without first obtaining written authorization, which is granted or denied at STAG’s sole and absolute discretion. If authorization is granted, the transferee of the account will assume your position and all obligations, including any outstanding debts.
SECTION 3: ORDERS
All orders must be placed through this website, or by calling 1-844-GET-STAG (438-7824). Orders placed through this website must be paid by credit or debit card. Orders totaling more than $2,000 must be paid by check.
You may cancel an order prior to it being shipped. If an order status shows “Processing”, then you may still cancel their order. However, once an order status shows “Shipped”, the order can no longer be canceled.
STAG reserves the right to reject or cancel orders for any reason.
Product pricing, shipping costs, and sales tax
STAG resellers receive a 60% discount off the retail prices displayed on this website.
STAG resellers receive free shipping on all orders. Free shipping will not be applied when not logged into your online account as a reseller.
Product prices and shipping costs are subject to change at any time and without advance notice to you.
All orders that you submit will include applicable sales tax.
Refunds, damages, and returns
Customers must notify us within 36-hours of order delivery if they discover any defects in their ordered product. In order to receive a full refund or replacement, the customer must return 100% of the received product within 10 days (at their own expense) from the time when the delivery was received.
Obligations to customers
As a STAG reseller, you understand and acknowledge that you are not an employee of STAG Men’s Products, LLC. All activities you engage in are at your sole discretion. STAG will not be held liable in any way for the actions of a reseller. We have included the following suggestions to help protect your interests as you act as a STAG reseller.
Order fulfillment: In-person orders should be filled immediately, unless your customer is knowingly placing an order for items which will be fulfilled at a later, agreed-upon date. All orders not filled immediately should be fulfilled by you within five (5) business days. Do not keep your customers waiting.
Sales receipts: When you make an in-person sale, provide your customer with either a paper or digital copy of the sales receipt. You should also enclose a paper receipt (packing slip) in the shipping box. We suggest retaining a copy of all sales receipts for a minimum of two (2) years after the sale.
We highly suggest that you do not retain or store any Customer’s credit card information after delivery of an order to the customer for any reason. It is your responsibility to safeguard your customer’s credit card information any time it is provided to you. Do not copy, distribute, or allow another person access to a customer’s credit card or information. STAG is not responsible for any financial injuries stemming from of a customer’s credit card information being mishandled by a reseller. The reseller assumes all responsibility for safeguarding his or her sensitive customer data.
Customer service: Set reasonable expectations regarding the products, pricing, and delivery for your customers. Deal fairly and honestly. Loyalty from your customers is earned by you and not guaranteed by STAG.
SECTION 4: ACCOUNT CANCELLATIONS
Your Account may be cancelled in any of the following ways:
Voluntary cancellation: You may cancel your reseller account at any time and for any reason by submitting a written request to email@example.com.
Cancellation due to inactivity: If you are inactive for any consecutive six-month period, your access to the seller program may be suspended.
Involuntary cancellation: Any violation of this Agreement, including any subsequent amendments made by STAG, may result in disciplinary action, which could include, but is not limited to, an involuntary account cancellation. Additionally, STAG expressly reserves the right to cancel the accounts of STAG resellers upon 30 days written notice in the event that STAG elects to: (1) cease business operations; (2) dissolve as a corporate entity; or (3) terminate distribution of its products via reselling activities.
Upon cancellation of your account, you waive all rights associated with being a STAG reseller. This includes, but is not limited to property rights, bonuses, commissions, or other compensation derived through the sales and other activities. You must also immediately:
Stop representing yourself as a STAG reseller;
Stop selling STAG products, including inventory on hand; and
Remove any online materials from public view that redirect traffic to stagforhim.com.
If your account is cancelled and you wish to begin again as a STAG reseller, email firstname.lastname@example.org to apply for an account reinstatement. Your account may be reinstated only for good cause, which will be determined at the sole and absolute discretion of STAG. Accounts cancelled due to inactivity may be reinstated 30 days after the account cancellation. Accounts cancelled for any other reason may be reinstated six (6) months after the account cancellation. You must achieve active status during the month of reinstatement or the month after your account is reinstated.
SECTION 5: INTERNATIONAL BUSINESS
STAG does not ship orders outside of the United States. As a STAG reseller, you may choose to sell and/or ship STAG products outside of the United States of America, however you will be responsible for any and all costs associated with the shipment.
SECTION 6: COMPENSATION
STAG resellers receive a 60% discount off the retail prices displayed on this website. Resellers are free to set the price of the product(s) they are selling at whatever price point they choose. We recommend selling those price points at or close to the retail prices STAG charges the general public on this website.
Earnings are not guaranteed or capped. The amount of income a STAG reseller earns is entirely up to them.
SECTION 7: BONUSES & ADDITIONAL DISCOUNTS
STAG may, at its sole discretion, reward a reseller with a monetary bonus or discount on an order based on their prior order history.
SECTION 8: MARKETING
STAG does not grant exclusive sales territories to anyone for selling, recruiting or marketing.
It is your responsibility to help safeguard and promote the good reputation of STAG through courteous and ethical conduct and business practices. Whenever promoting STAG products, you must clearly identify yourself as a STAG reseller. You are responsible for the content of your ads, whether created by you, or for you by a third party.
Corporate pricing and packaging
You may choose to sell products to businesses. When doing so, you may only advertise the sale of unaltered STAG products in their original packaging. You are welcome to share ideas related to the retail display and presentation of STAG products within a business customers’ location.
Personal specials (including discounts, giveaways, and other special considerations) may be used as incentives or rewards to attract customers. You may advertise personal specials via one-to-one communications in-person, email, direct or private message, telephone, or direct mail.
All claims that you make in your advertising must be truthful and consistent with current, official STAG literature. Do not make misleading or deceptive claims of any kind.
Products: You may not make any claims regarding the medicinal, therapeutic, or curative properties of any STAG products other than those contained in current official STAG literature.
Reseller opportunities: STAG does not engage in multi-level marking and at no time do we ask that you recruit new sales resellers for our company. All claims related to STAG reseller opportunities must be truthful and transparent. If you use a hypothetical income example to illustrate potential earnings, you must make clear that the example is hypothetical.
Endorsement claims: You may use only STAG-approved language or materials when asserting any previous, current, or future endorsement of any kind from any entity, including but not limited to, government agencies or officials, celebrities, or companies.
Political or social claims: You may not make claims regarding STAG’s position on political or social issues outside of what may be found in official STAG literature. You may not use STAG’s intellectual property (i.e. logos, product images, etc.) in conjunction with personal statements that are political, social, or otherwise controversial in nature.
When you are representing yourself as a STAG reseller, you may not:
Use rude, offensive, or vulgar content in any advertising or STAG-sponsored online forum; or
Disparage STAG, other STAG resellers, STAG’s products, or employees.
The determination of inappropriate content is at the sole and absolute discretion of STAG and may result in disciplinary action including, but not limited to suspension, termination, or legal action.
When using the STAG name or brand on social media, or in any online marketing campaign (including SEO titles, keyword tags, or meta descriptions), state in full that you are an “STAG reseller.” You may not use the STAG name or its derivatives in any email address, username, or URL address other than the URL provided for your online store by STAG. You must be responsive to STAG’s requests to change any related information in the event of a naming conflict.
The primary channels of marketing are print, web, social media, and in-person. Each has specific standards, outlined in this section, that apply distinctly to that channel.
Corporate materials: Marketing materials are available for purchase through your online reseller account. These items may be personalized with your contact information (name, email, URL, phone, etc.) without prior approval. You will provide this information upon completing the checkout process.
reseller materials: STAG grants permission to resellers to produce and distribute their own marketing materials, including apparel, as long as those materials comply with this Agreement.
Distribution of materials: If you wish to distribute print materials (fliers, brochures, etc.) at a business, public or government facility (schools, libraries, etc.), you must first obtain permission from that location. You are responsible to follow local and federal solicitation laws.
Reseller external websites: STAG grants permission to resellers to brand themselves and promote STAG products. If you wish to establish and operate your own external website, you understand that STAG is in no way liable for civil or criminal damages stemming from the content or activities conducted on your personal website. You also understand and acknowledge that STAG does not provide any training, content, or technical assistance for the external website.
Blogs: A blog developed for the primary purpose of marketing or promoting STAG products is considered an external website and must follow the same standards listed herein. Personal blogs that are developed and maintained primarily for other purposes that also mention STAG and/or direct traffic to your external website do not need to be registered with us.
Online classifieds, sales and auction sites: You may list or sell STAG products on any online retail store, e-commerce site (such as eBay or Amazon) or online classified (e.g. Craigslist or yard sale sites). All banner advertisements listed through these channels must direct customers to your external website or upcoming public event as permitted by the rules of that website.
Social media: You may use social networking sites (Facebook, Snapchat, Instagram, Pinterest, Twitter, etc.) to promote STAG products and to direct potential customers to your external website.
Digital media: You may upload, submit, live stream, or publish any STAG-related video, audio or photo content that you develop and create as long as it is in compliance with this Agreement. You may not upload, submit, live stream, or publish as your own, any content received from STAG or substantive content (including, but not limited to, trade secrets, event presentations, product concepts, etc.) captured at official STAG events, or in buildings owned or operated by STAG without prior written permission from STAG.
Tradeshows, fairs, and social events: You may collect orders, have product available for cash-and-carry purchases and offer personal specials at tradeshows, fairs, public or private events, and social gatherings.
When you conduct in-person sales your booth or location must be attended at all times by a current STAG reseller in good standing.
STAG will not be made a party to a contract between you and an event coordinator, nor will STAG be held liable for any disputes that arise between you and an event coordinator, or between you and another reseller at an in-person event.
Retail Locations: You may conduct sales and promote STAG products with a promotional display at a temporary retail location. (Some malls for example offer short-term, 1-3 day “popup” events.) If you have any questions regarding what is considered a retail location, please contact us prior to selling at that location.
Media inquires: You must contact us before you disclose any information to the public media concerning STAG. If STAG requests that you not respond to a media inquiry, or requests that you refer the media to STAG to respond, you must comply with such requests.
Search Engine Optimization (SEO)
You may employ only authentic SEO tactics on your external website and online store. Authentic SEO is the result of adding genuine value to the online community through meaningful content you author, conversations you join, relationships you create and improving the ease with which all of these are indexed by search engines. STAG may take any action it determines necessary to prohibit the use of deceptive SEO tactics. Deceptive SEO tactics are determined at STAG’s sole and absolute discretion.
Paid online and social advertising campaigns
Sponsored links, pay-per-click (PPC) ads, Facebook fan pages, and banner ads are permitted. When using these tactics, direct people to your external website, which must also be the display URL. All ads must comply with this Agreement and must clearly indicate that you are a STAG reseller.
STAG products may not be offered in conjunction with another vendor, retail store, or businesses online or offline advertisement or promotion. (Such as an in-store, or online product giveaway or a package deal).
Unsolicited mass marketing
Do not transmit unsolicited emails, faxes, texts, direct mail, or phone calls to promote STAG or its products to people you do not know, or who have not given you permission to contact them regarding STAG. Marketing through periodicals, such as phone books, magazines, and newspapers is acceptable. The determination of what is considered a periodical, for the purposes of this Agreement, is at STAG’s sole and absolute discretion.
If you run a fundraiser of any kind, you must:
Obtain approval from the individual or entity for which you are raising funds or donations;
Obtain prior written approval from STAG if the subject of your fundraiser is a national tragedy (an event covered by national media);
Follow through on all promises and agreements made with the entity for which you are raising funds;
Be able to provide documentation to STAG, upon request, showing the fundraising terms agreed upon by you and the fundraising entity;
Only collect funds through product purchases. You are not authorized to collect cash donations using the STAG name without STAG’s prior written approval; and
Limit the content of your fundraiser ad to only include: (1) the entity for which you are raising funds, (2) information about the purpose of the fundraiser, (3) details regarding how to participate in the fundraiser and (4) the percentage of commissions to be donated.
SECTION 9: CODE OF CONDUCT
Offering incentives to join STAG
STAG does not engage in multi-level marking and at no time do we ask that you recruit new resellers for our company. You may not offer, or infer that you are offering, any monetary benefits as an incentive to join STAG.
Deal fairly and honestly with others as a STAG reseller. Any form of fraud will result in immediate disciplinary action by STAG and/or applicable legal authorities.
Disclosures and permissions
You are granted a temporary, limited license to use STAG logos, copyrights, and provided images in communications, including on approved websites, and on items you make yourself. No other use of any STAG logo name, mark, or creative work is permitted. You are not allowed to claim ownership of (or attempt to register as a trademark, copyright or domain name) any words, images, phrases, taglines and/or ideas developed or coined within the STAG community.
Use of Non-public Information
You may not use information about STAG, or its future plans, to pursue any benefit or advantage for your account prior to the public announcement by an authorized STAG officer through:
Media press releases;
Official emails to resellers;
Official STAG events; or
Training and leadership calls.
Announcements at STAG-sponsored events or the appearance of information on forums, even forums hosted by STAG, does not constitute an official announcement.
Conflicts of interest
Leveraging STAG’s intellectual property, or any contacts (including customers and other STAG resellers) obtained through the promotion of STAG’s products or reseller opportunities, to benefit another non-STAG venture of any kind is strictly prohibited.
Cross Marketing: Promoting other companies or products together with STAG products is strictly prohibited.
Cross Promoting: Attempting to recruit STAG resellers for other business ventures, either directly or through a third party, and even if STAG resellers proactively contact you about it is strictly prohibited. What constitutes cross promoting is at STAG’s sole and absolute discretion.
Selling to other resellers: You may sell STAG products to other STAG resellers, but you may advertise items for sale only in one-to-one communication. STAG will not be involved in resolving disputes related to your buying from and selling to other resellers. If you facilitate a meeting or training for other resellers, you are permitted to charge a reasonable fee to recoup the costs incurred. The following conditions apply:
Do not consider or treat this as a potential profit stream.
Be prepared to share financial books showing the costs of holding the meeting compared to ticket sales.
You may not sell any products or services to other STAG resellers when such products are related in any way to the conducting or maintaining of a STAG account.
Additionally, you are prohibited from leveraging STAG assets, websites, events, or the network of STAG resellers to sell anything other than STAG products to other STAG resellers.
Participating in other business ventures: STAG does not encourage it, but it is not prohibited. As a STAG reseller who is also a member of any other company, you must adhere to the following conditions:
You may not cross market another company with STAG’s opportunity.
You may not cross promote or sell products or services from other business ventures to STAG resellers.
Because of actual or potential conflicts of interest and the significant damage that may occur as a result of cross promoting, any reseller found to be cross promoting products will have their STAG account immediately terminated and be subject to any applicable disciplinary action.
Your customer database and the information you obtain from customers is to be used solely for promoting STAG products. It may not be sold, copied, or distributed to any person, reseller, or entity for any reason.
Altering or tampering with labels and packaging is prohibited
You may not in any way repackage, re-label, or alter STAG products, nor the packages and labels on STAG products you sell. Tampering with labels and/or packaging could be a violation of federal and state laws and in some circumstances may result in civil liability. You may affix a personalized sticker or label with your personal/contact information to each product or product container, as long as you do so without removing or obscuring the existing product labels.
Targeting other resellers
You may not consciously target the sales force of another company for recruiting purposes. You may not solicit resellers from another company in ways that would cause these individuals to violate the terms of their contracts with their respective companies. Should you engage in these activities, you risk being sued by these other companies, and if any lawsuit, arbitration or mediation is brought against you, STAG will not pay any of your defense costs or legal fees, nor will STAG indemnify you for any judgment, award, or settlement.
SECTION 10: TERMS AND CONDITIONS
In this section, we’ll define your relationship with STAG, explain enforcement proceedings, and take measures to protect both you and STAG under this Agreement.
You must read, understand and agree to all of the terms, conditions, standards and procedures in this Agreement and ensure that you are operating in accordance with all federal, state, county, and municipal laws, ordinances, rules, and regulations.
You are not an employee, agent, partner, legal representative, or franchisee of STAG. You are an independent contractor of STAG Men’s Products, LLC. You will not be treated as an employee of STAG for federal or state tax purposes. You are solely responsible for paying local, state, and federal taxes on income generated as a STAG reseller.
Right to enforce
STAG has the right to enforce compliance with this Agreement. If STAG chooses, for whatever reason, not to enforce compliance in one or more instances, that does not mean STAG waives its right to enforce compliance with any portion of this Agreement, now or in the future.
If you are found in violation of this Agreement, or if STAG determines that you have engaged in or are engaging in any illegal, fraudulent, deceptive, or unethical business conduct, you may be subject, at STAG’s sole and absolute discretion, to disciplinary action, which could include the cancellation of your reseller account.
Compliance cases, including unreported violations, are private matters between STAG and the reseller(s) involved and are to be held strictly confidential. Discussing or sharing details of specific compliance cases, whether it is your case or someone else’s, in public or private forums, without STAG’s consent is strictly prohibited.
If anyone with a beneficial interest in your account (which includes, but may not be limited to, members of your immediate household) engages in activities and behaviors that violate this Agreement, your account may be subject to disciplinary action.
Compliance with this Agreement
STAG determines, at its sole and absolute discretion, whether your activities and behaviors are deceptive, misleading, dishonest, or out of compliance with this Agreement.
Changes to this Agreement
STAG, at its sole and absolute discretion, reserves the right to update or amend any portion of this Agreement. You will be notified of such changes 30 days in advance. It is your responsibility to stay informed of the latest terms of this Agreement. By electronically accepting this Agreement, continuing in your participation as a STAG reseller, or by accepting any bonus or commission, you accept and agree to any changes that are made now or in the future.
Grievances and complaints
If you have a grievance or complaint with another reseller related to your STAG account, you may report to us the grievance or complaint in writing and we will investigate your claims.
Alternative dispute resolution and class action waiver
Any claim or grievance you have against STAG of any kind, including, but not limited to, economic losses, personal injury, or property damage, is subject to mediation at STAG’s corporate address using a neutral mediator of STAG’s choosing. In the event that you and STAG are unable to resolve the dispute through mediation, you and STAG agree to resolve the dispute in final and binding arbitration in the state of Texas. You agree not to file suit against STAG, any of its affiliates, subsidiaries, officers, directors, or employees.
You also understand and agree that you will not have the right to participate in a representative capacity or as a member of any class of claimants pertaining to any claim subject to arbitration. There is no right or authority for any claim you have against STAG to be arbitrated on a class action basis or on any basis involving claims brought in a purported representative capacity on behalf of the general public or on behalf other persons or entities similarly situated. Claims brought against STAG may not be joined or consolidated with claims brought by anyone else.
The arbitration will take place before a single arbitrator (hereafter, “Arbitrator”) agreed upon by you and STAG. In the event that you and STAG are unable to reach an agreement on an Arbitrator, you and STAG will each select an arbitrator, and the two of them will select an Arbitrator residing in Ada County, Idaho, who will arbitrate the dispute. The arbitrators selected by you and STAG will have no further involvement in the arbitration. The party initiating arbitration will do so by submitting a written demand for arbitration to the other party. The receiving party must respond within 14 days by providing the claimant a list of proposed arbitrators. Within seven (7) days thereafter, you and STAG must either agree upon an Arbitrator or select an arbitrator for the purpose of appointing the Arbitrator. The dispute will be subject to rules of arbitration as determined by the Arbitrator.
You agree that in the event of any arbitration or litigation, you and STAG will each bear your own costs and attorneys’ fees regardless of who, if either you or STAG, is deemed the prevailing party. The foregoing notwithstanding, if either you or STAG commences an action in a court of law or equity and the responding party successfully moves such court to compel arbitration, the party who moved for the order compelling arbitration shall be entitled to recover its reasonable cost and attorneys’ fees incurred on the motion to compel from the other party. The decision of the Arbitrator will be final and binding on you and STAG and may be reduced to a judgment in any court of competent jurisdiction. This agreement to arbitrate survives any termination or expiration of this Agreement.
Nothing in this Agreement prevents STAG from applying to and obtaining from any court having jurisdiction a writ of attachment, a temporary injunction, preliminary injunction, permanent injunction or other relief available to protect STAG’s interest prior to, during or following the filing of any arbitration or other proceeding.
Any claim must be brought in arbitration within one (1) year from when the claim arises. By accepting this Agreement, you agree that no other statute of limitation applies.
If any provision of this alternative dispute resolution section is unenforceable, only the portion that is unenforceable shall be stricken, and all of the remainder of this alternative dispute resolution section shall be given full force and effect.
Governing law, jurisdiction and venue
Jurisdiction and venue of any dispute, whether or not subject to arbitration, shall reside in the state of Texas. The laws of the State of Texas govern all disputes in arbitration.
It is specifically intended that all provisions, which by their terms are intended to survive the termination or cancellation of this Agreement.
You understand and agree that if you engage in any conduct prohibited by this Agreement, including, for example, and not limited to, uploading a video that infringes the copyright of a third party or disparaging a STAG competitor, such conduct may cause a third party to sue STAG. You understand and agree that if STAG is ever a defendant in any lawsuit related to anything you have done (or anything you did not do when you had a legal obligation to act), whether your action (or inaction) or the lawsuit occurs before or after cancellation or termination of this reseller Agreement, you will defend STAG in any such lawsuit and indemnify STAG for any damages, costs, attorney fees, and losses of any kind incurred in connection with such lawsuit.
You are fully responsible for all verbal and written statements made regarding STAG and its products that are not expressly contained in official STAG materials. You agree to hold STAG men’s Products, LLC and STAG employees harmless from any liability resulting from unauthorized representations or actions by you. This provision shall survive the cancellation of this reseller Agreement.
Limitation of liability
In the event that STAG is found liable to you for any reason, STAG’s maximum liability is the lesser of $7,500. In no event will STAG be liable to you for consequential or punitive damages, business losses, lost profits, or any other indirect damages of any kind or description.
Consent to freely use information and ideas
By entering into this Agreement, you authorize STAG to use your name, testimonials, and/or likeness in STAG advertising or promotional materials with no compensation. Additionally, you authorize the use and reproduction of any and all photographs or videos taken by or supplied to STAG and further consent to the use and reproduction of any quotes, testimonials, stories or conversations on social networking media for any print or electronic publicity, marketing, or promotional purposes without compensation.
STAG does not compensate you or others for submissions of business, product or creative ideas or materials. Unless otherwise specified in writing, this policy also applies for submissions made as part of any STAG contests, promotions, or incentives. All submissions and all contest, promotion, or incentive submissions are the property of STAG. STAG is not obligated to keep any information confidential and may use or disclose any information for any purpose without further permission from you and without any payment to you.
If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be reformed only to the extent necessary to make it enforceable and the balance of this Agreement will remain in full force and effect.
Your personal information
STAG makes every reasonable effort to keep your personal information, including, but not limited to, your personal information, protected from loss, misuse, unauthorized access, disclosure, alteration, or destruction. Such information is provided to STAG personnel only on a need-to-know basis. STAG will provide personal information in response to government inquiries, subpoenas, and other legal requests. Disciplinary actions may also be disclosed when appropriate.
STAG is not responsible for business delays due to circumstances beyond its reasonable control, such as the actions or failures of third parties, labor strikes, and difficulties, riots, war, fire, natural disasters, death, curtailment of a party’s source of supply, government decrees or orders.
This Agreement will be valid for one year from the date you join STAG and will automatically renew for subsequent one-year periods unless you or STAG cancel this Agreement.
This Agreement represents the entire Agreement between you and STAG concerning the subject matter contained herein and supersedes any oral agreements or promises. In the event that the terms and conditions of this Agreement conflict with the terms and conditions of any other written agreement between you and STAG, the terms and conditions of this Agreement shall control. In the event the terms and conditions of this Agreement do not conflict with the terms and conditions of any other written agreement between you and STAG, the terms of both agreements will be fully effective and enforceable.
